Terms of Service

1. Acceptance of Terms

By accessing or using Taliiq (“Taliiq,” “we,” “us,” or “our”), a product of Vyxeon(“Vyxeon”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use our Services. These Terms form a legally binding agreement between you (the “Customer” or “User”) and Vyxeon, registered in the Arab Republic of Egypt.

2. Definitions

  • “Services” means the Taliiq platform, APIs, voice agents, chat agents, dashboard, documentation, and any related features.
  • “Customer Data” means all data, content, prompts, configurations, and communications you submit to or generate through the Services.
  • “Agent” means an AI-powered virtual agent configured through the Taliiq platform.
  • “Provider” means a third-party AI service (STT, LLM, TTS) that you configure to power your Agents.

3. Account Registration & Eligibility

  • You must be at least 18 years old to create an account.
  • You must provide accurate and complete registration information.
  • You are responsible for maintaining the confidentiality of your account credentials.
  • You are responsible for all activities that occur under your account.
  • We reserve the right to suspend or terminate accounts that violate these Terms.

4. Acceptable Use

You agree not to use the Services to:

  • Violate any applicable law in Egypt, the MENA region, or your jurisdiction.
  • Transmit or generate content that is illegal, harmful, harassing, defamatory, or obscene.
  • Impersonate any person or entity without authorization.
  • Interfere with or disrupt the integrity or performance of the Services.
  • Attempt to gain unauthorized access to any part of the Services or related systems.
  • Use the Services for high-risk activities where AI failure could lead to death, injury, or significant environmental harm.
  • Reverse engineer, decompile, or extract the underlying code, models, or algorithms of the platform.

5. Intellectual Property

  • Taliiq & Vyxeon IP: The platform, software, branding, documentation, and all underlying technology are owned by Vyxeon. These Terms do not transfer any ownership rights.
  • Customer Data: You retain all rights to your Customer Data. You grant us a limited license to process your data solely to provide the Services.
  • Feedback: Any suggestions, ideas, or feedback you provide may be used by us without restriction or compensation.

6. Third-Party Providers

Taliiq integrates with third-party AI providers (STT, LLM, TTS) that you choose to configure. Your use of those providers is subject to their respective terms of service and privacy policies. We are not responsible for the content, accuracy, or availability of third-party services. Provider-specific fees are charged separately and are not included in Taliiq's platform pricing.

7. Fees & Payment

  • Fees are calculated based on usage (per-minute for voice, per-message for text) or as agreed in an Enterprise agreement.
  • You are responsible for all charges incurred under your account, including Provider fees.
  • Payments are due according to the billing cycle displayed in your dashboard.
  • Late payments may result in service suspension after a 15-day notice period.
  • All fees are in USD unless otherwise stated. Taxes may apply based on your jurisdiction.

8. Service Level & Availability

We strive to maintain high availability. Pay-As-You-Go plans are provided on a best-effort basis. Enterprise plans may include a Service Level Agreement (SLA) with defined uptime commitments up to 99.99%. Scheduled maintenance will be announced at least 48 hours in advance where feasible.

9. Limitation of Liability

To the maximum extent permitted by Egyptian law (Article 164 of the Egyptian Civil Code) and applicable MENA regulations:

  • THE SERVICES ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND.
  • Vyxeon and Taliiq shall not be liable for any indirect, incidental, special, consequential, or punitive damages.
  • Our total liability in any matter arising from these Terms shall not exceed the fees you paid to Taliiq in the 12 months preceding the claim.
  • These limitations do not apply to liability for death, personal injury, fraud, or any liability that cannot be excluded by law.

10. Indemnification

You agree to indemnify and hold harmless Vyxeon, Taliiq, and their officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Services, your Customer Data, or your violation of these Terms.

11. Termination

  • You may stop using the Services at any time. You may request account deletion by contacting support.
  • We may suspend or terminate your account for violation of these Terms with notice where practicable.
  • Upon termination, your right to access the Services ceases immediately.
  • We will retain your Customer Data for 30 days after termination to allow data export, after which it will be deleted.

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Arab Republic of Egypt. Any dispute arising from these Terms shall be:

  • First, attempted to be resolved through good-faith negotiation between the parties.
  • If unresolved within 30 days, referred to mediation in Cairo, Egypt.
  • If mediation fails, resolved through binding arbitration under the Cairo Regional Centre for International Commercial Arbitration (CRCICA) rules.
  • For Customers in the UAE, GCC, and wider MENA region: the applicable laws of Egypt govern, with arbitration in Cairo unless a different venue is agreed in an Enterprise agreement.

13. Data Protection

Your use of the Services is subject to our Privacy Policy, which is incorporated into these Terms by reference. We comply with Egypt's Personal Data Protection Law (Law No. 151 of 2020) and implement appropriate technical and organizational measures to protect Customer Data.

14. Changes to Terms

We may modify these Terms from time to time. Material changes will be communicated via email and/or platform notice at least 30 days before taking effect. Continued use after the effective date constitutes acceptance. If you do not agree, you must stop using the Services before the effective date.
